The MSc Corporate Governance and Leadership provides you with an in-depth understanding of the two key areas which are of fundamental importance to businesses and society globally. The course is designed to provide the student with a sound understanding of leadership and corporate governance from corporate, investor and stakeholder perspectives for corporate, governmental and non-profit seeking organisations. The course is benchmarked against ICSA: The Governance Institute, which means that on completion of the course, you will be eligible for the award of Grad ICSA.

Those with a related degree in law or accounting and finance may be eligible for exemptions on some modules.

    The Corporate Governance and Leadership course provides a theoretical and vocational framework, analytical techniques and key transferable skills to facilitate an advanced study of corporate governance and leadership to the benchmarked professional standard. You will develop the ability to apply relevant knowledge and use your learnt skills to exercise professional judgement in carrying out the role of a chartered secretary relating to: general management issues; strategic decision making; corporate governance and managing risk within an organisation and legal constraints.

    With a Master of Corporate Governance and Leadership qualification, you will be prepared for contemporary issues in corporate finance and reporting that ensures business thrives globally. Besides the taught elements of the course, the completion of a dissertation enables you to apply your skills in effective scholarly research whilst linking your learning with a real-world situation.

        This module aims to develop future strategic leaders enabling them to create the vision and direction for organisational growth and long-term sustainable success. It will focus on areas such as strategic financial decision making the associated risk and how this affects the overall strategy and operations of organisations.

        This module will examine how the expectations of society impact on the accounting reports created by an enterprise. Students will explore the increasing importance of business ethics and corporate governance and their impact on the growth of corporate codes of conduct environmental auditing and ethical investment decison making.

        The purpose of this module is to apply knowledge gained on the programme by carrying out independent research on a relevant topic of their choice and develop an ability to present analyse and evaluate information in a reflective and critical manner.

        This module develops a critical understanding of the financial reporting and regulatory framework in a multi-national context. Students will analyse and communicate financial and non-financial information competenty and confidently. The module enables students from all backgrounds to act professionally in their work place.

        Students need to be aware of factors that influence financial decision making in today?s businesses. This module appraises how organizations can achieve their financial goals in a risky environment. Therefore it emphasises an understanding of techniques that lead to optimal investment decisions in relation to a given level of risk.

        This module examines the role of the Chartered Secretary in promoting and reinforcing good governance across the organisation by ensuring compliance with statutory obligations and good practice. The module also deals with managing the practical and company law issues in relation to shareholders. Chartered Secretaries need to understand the application of statutory requirements and other best practice and how this underpins good governance and compliance irrespective of sector. The module examines corporate secretaryship practices and processes within legal and other frameworks of best practice and the role of the Chartered Secretary in ensuring organisational effective. The practice of corporate secretaryship in this module extends to both the strategic and functional contexts in advising the board in leading teams in secretarial best practice in ensuring compliance with law and regulation and in establishing and maintaining appropriate processes in respect of the company's shareholders.

        This module is designed to develop the students' existing legal knowledge in the area of business law and to complement other modules in the Master's programme. The material covered concerns the regulation of corporations in relation to the European Union and its member states as a wider international community.

        The purpose of this module is to enable students to develop a sense of self-awareness and of their own strengths and development needs as effective managers colleagues and subordinates. Through reflective practice students will analyse personal effectiveness planning own development and improvement by maximising the learning opportunities around them.

        The purpose of the module is to introduce learners to dimensions of strategic leadership. The module will prepare learners to become innovative strategic thinkers and change agents who are able to lead agile organisations attaining sustainable competitive advantage in complex and ambiguous strategic environments.

  • What is corporate governance?

    Corporate governance refers to the system of laws, rules and processes which control and direct organisations. The corporate governance definition covers what a company’s board does, how they set their business values and achieve their objectives, as well as the various factors which impact the interest of all stakeholders, from management to government regulators and customers.

    Why is corporate governance important?

    Good corporate governance is key to helping organisations achieve their objectives, mitigate risks and ensure they meet compliance standards. The main principles of corporate governance are accountability, fairness, transparency and responsibility. By incorporating a clear set of rules, a company’s Corporate Governance Code influences operations and defines professional relationships across the board, management and stakeholders at all levels.

    How will I be assessed?

    The course has a mixture of assessment involving essays, reports and examinations, plus a dissertation.

    What is the schedule for this course?

    This course is available as a full-time course studied over one year. The taught course lasts for two semesters. You will be expected to complete your dissertation within one additional semester.

    You can elect to study this course part-time over two years. If you choose this option, then you can expect your taught sessions to take place one day per week.

  • Applicants for this postgraduate Corporate Governance and Leadership course should have an undergraduate degree or a Postgraduate Diploma in a relevant subject obtained from a UK university or an equivalent degree or Postgraduate Diploma from a recognised university abroad
    and Leadership.

Chartered Secretaries can work in a number of different careers and across a variety of sectors including corporate, not-for-profit and charity. Graduates from this course have also gone on to work as company secretaries for FTSE100 companies, chief executive positions and as directors of legal services or finance.
